“Company” refers to NJF Logistics Inc., acting as a licensed property broker under FMCSA authority.
“Customer” means any individual or entity requesting transportation, logistics, or related services from NJF Logistics Inc.
“Carrier” refers to any motor carrier, freight forwarder, or other service provider contracted by NJF Logistics Inc. to perform transportation.
“Shipment” refers to the goods tendered for transport under a single bill of lading or load confirmation.
NJF Logistics Inc. operates solely as a property broker and does not act as a motor carrier or freight forwarder.
The Company arranges transportation by authorized third-party carriers. At no time does NJF Logistics Inc. assume responsibility for the actual movement of freight or possession of goods.
NJF Logistics Inc. uses commercially reasonable efforts to select responsible, qualified, and insured carriers.
However, the Customer acknowledges that all transportation is performed by independent carriers, and NJF Logistics Inc. shall not be held liable for carrier actions, delays, losses, damages, or delivery failures beyond its control.
All rates are quoted based on information provided by the Customer at booking.
Any additional charges (detention, layover, reconsignment, lumper, storage, etc.) will be billed at cost.
Payment is due within 15 days of the invoice date unless otherwise agreed in writing.
Unpaid invoices may accrue interest at 1.5% per month (18% annual) or the maximum rate allowed by law.
NJF Logistics Inc. is not liable for cargo loss or damage, which remains the responsibility of the carrier.
All cargo claims must be filed directly with the carrier within the time limits prescribed by 49 C.F.R. §370.
The Company may assist in claim resolution as a courtesy but assumes no financial responsibility.
Customer agrees to hold NJF Logistics Inc. harmless from all third-party claims relating to shipment handling, delays, or cargo conditions.
Carriers contracted by the Company are required to maintain minimum cargo insurance of $100,000 and public liability insurance as required by FMCSA regulations.
Customer may request proof of carrier insurance prior to shipment tender.
Customer agrees to defend, indemnify, and hold harmless NJF Logistics Inc., its officers, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising out of:
- Customer-provided incorrect or incomplete shipment information;
- Improper packing, labeling, or loading; or
- Breach of these Terms and Conditions.
NJF Logistics Inc. shall not be liable for delays, damages, or nonperformance resulting from causes beyond its reasonable control, including but not limited to acts of God, accidents, labor disputes, weather, war, terrorism, or government actions.
These Terms and Conditions shall be governed by and construed under the laws of the State of Illinois, without regard to its conflict of law principles.
Any legal action shall be brought in the state or federal courts located in McHenry County, Illinois, and all parties consent to such jurisdiction.
These Terms and Conditions constitute the complete and exclusive agreement between NJF Logistics Inc. and the Customer, superseding any prior agreements or representations.
No modification shall be valid unless made in writing and signed by both parties.
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
